I-FEEDER TECHNOLOGIES — TERMS OF SALE

Effective date: September 2026

These Terms of Sale apply to the sale of products, equipment, components and accessories supplied by I-Feeder Technologies (“I-Feeder”, “we”, “us” or “our”).

By placing an order, accepting a quotation, issuing a purchase order, making payment or completing a purchase through an I-Feeder sales channel, the purchaser (“Customer”) agrees to these Terms of Sale.

Where mandatory consumer protection legislation applies, these Terms do not exclude or restrict rights that cannot lawfully be excluded or restricted.

1. Quotations and Orders

Quotations issued by I-Feeder are valid for the period stated on the quotation. Where no validity period is stated, the quotation is valid for 30 days from the date of issue.

A quotation does not constitute acceptance of an order by I-Feeder.

An order becomes binding when I-Feeder confirms the order in writing or accepts payment for the order.

Any changes requested after acceptance may affect the price, specification and delivery date.

Where there is a conflict between these Terms and a written quotation or order confirmation issued by I-Feeder, the specific terms stated in the quotation or order confirmation will take precedence for that transaction.

2. Product Selection and Sizing

I-Feeder may provide product recommendations, calculations, sizing tools, technical information and application guidance to assist Customers in selecting equipment.

These recommendations depend upon the accuracy and completeness of the information supplied by the Customer.

The Customer is responsible for providing accurate operating information, including where relevant:

  • required dosing rate;

  • irrigation or system flow;

  • operating and maximum pressure;

  • chemical or product being dosed;

  • concentration;

  • specific gravity and viscosity;

  • presence of suspended or abrasive solids;

  • electrical supply;

  • environmental conditions; and

  • intended application.

A product recommendation does not remove the Customer’s responsibility to verify that the equipment is suitable for the intended system and application.

3. I-Feeder System Sizer

Results generated by the I-Feeder System Sizer, I-Feeder Connect or other digital calculation tools are based on information entered by the user and I-Feeder’s product data.

Sizer results are intended to assist with equipment selection and are not a substitute for complete engineering assessment where site conditions or the application require one.

I-Feeder is not responsible for an incorrect recommendation resulting from inaccurate, incomplete or misleading information supplied by the user.

Where an application falls outside the published operating parameters of I-Feeder equipment, I-Feeder may require additional technical assessment before accepting an order.

4. Chemical Compatibility

The Customer is responsible for confirming the compatibility of the chemical or product being dosed with the equipment’s wetted materials unless I-Feeder has expressly confirmed compatibility in writing for the specific application.

Pump sizing or equipment selection does not by itself constitute confirmation of chemical compatibility.

Chemical composition, concentration, temperature, contamination and operating conditions may materially affect equipment compatibility and service life.

5. Prices

Prices are those stated in the applicable quotation, order confirmation or online checkout.

Unless expressly stated otherwise, prices exclude:

  • delivery and freight;

  • insurance;

  • customs duties;

  • import taxes;

  • installation;

  • commissioning;

  • local permits or certifications; and

  • other charges incurred outside I-Feeder’s stated scope of supply.

Applicable VAT will be dealt with in accordance with South African tax legislation. SARS currently states that the standard South African VAT rate is 15%.  

For international orders, the Customer is responsible for duties, taxes, customs charges and other import costs in the destination country unless I-Feeder expressly agrees otherwise in writing.

6. Currency and Exchange Rates

Orders may be quoted or accepted in currencies made available by I-Feeder, including South African Rand (ZAR) and United States Dollars (USD).

The currency shown on the accepted quotation, order confirmation or checkout is the contractual currency for that transaction.

Any bank charges, foreign exchange charges, intermediary bank fees or currency conversion costs incurred by the Customer are for the Customer’s account unless otherwise agreed.

7. Payment

Payment terms will be specified in the applicable quotation, invoice, order confirmation or checkout.

Unless credit terms have been expressly approved by I-Feeder in writing, I-Feeder may require payment before manufacture, assembly or dispatch.

I-Feeder is not required to dispatch products until cleared funds have been received in accordance with the agreed payment terms.

Ownership of products remains with I-Feeder until the purchase price has been paid in full, to the extent permitted by applicable law.

8. Availability and Lead Times

Any manufacturing, assembly, dispatch or delivery date provided by I-Feeder is an estimate unless expressly confirmed as a guaranteed delivery date in writing.

Lead times may be affected by component availability, manufacturing schedules, freight, customs, suppliers and circumstances outside I-Feeder’s reasonable control.

I-Feeder will use reasonable efforts to meet agreed delivery dates but is not responsible for delays outside its reasonable control.

9. Delivery, Freight and Risk

Delivery arrangements will be stated in the quotation or order confirmation.

For international transactions, the applicable Incoterm®, delivery location and responsibility for freight should be specified on the quotation where appropriate.

Risk in the products passes to the Customer in accordance with the agreed delivery terms or applicable Incoterm.

The Customer should inspect shipments promptly on receipt and report visible transit damage or shortages to I-Feeder and the carrier as soon as reasonably possible.

10. Installation and Commissioning

Unless expressly included in I-Feeder’s quotation, installation, electrical connection, pipework, commissioning and integration into the Customer’s system are not included in the purchase price.

Equipment must be installed and operated in accordance with I-Feeder’s applicable manuals, technical specifications and instructions.

Electrical installation must be undertaken by appropriately qualified persons where required by applicable law.

11. Changes and Cancellations

Orders for standard products may only be changed or cancelled with I-Feeder’s written agreement after an order has been accepted.

Products manufactured, configured, assembled or modified specifically for a Customer may not be cancelled or returned except with I-Feeder’s written agreement or where required by applicable law.

I-Feeder may recover reasonable costs already incurred in connection with an agreed cancellation, subject to applicable law.

12. Returns

Products may not be returned without prior authorisation from I-Feeder.

Approved returns must be appropriately packaged and, where equipment has been exposed to chemicals, properly cleaned, decontaminated and made safe for transport and handling.

I-Feeder may refuse to handle equipment containing hazardous chemical residue.

Nothing in this section limits statutory return rights that apply to a Customer.

13. Warranty

I-Feeder products are supplied subject to the applicable I-Feeder Product Warranty.

The Product Warranty forms part of these Terms of Sale.

Where South African consumer law applies, statutory protections may exist in addition to I-Feeder’s manufacturer’s warranty. For example, section 56 of the Consumer Protection Act provides qualifying consumers with remedies for goods that fail applicable quality standards within six months, subject to the Act.  

14. Spare Parts and Consumables

Service items, consumables and components subject to normal wear may require periodic replacement.

Their service life depends on the application, operating conditions, chemical compatibility, maintenance and frequency of use.

Replacement of a wear component does not necessarily indicate a manufacturing defect.

15. Product Specifications

I-Feeder continually develops and improves its products.

Product specifications, materials, dimensions and designs may therefore change from time to time.

I-Feeder may make changes that do not materially reduce the intended functionality of the product without prior notice.

The specification applicable to an order is the specification stated or referenced in the applicable quotation or order confirmation.

16. Limitation of Liability

To the fullest extent permitted by applicable law, I-Feeder will not be liable for indirect, incidental, special or consequential loss arising from the purchase, installation, use or failure of its products, including loss of crop, product, production, revenue, profit or business opportunity.

The Customer remains responsible for appropriate system monitoring, maintenance, calibration and safeguards appropriate to the application.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

17. Force Majeure

I-Feeder will not be liable for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, fire, flood, war, civil disturbance, strikes, transport disruption, supplier failure, shortages, power interruptions, government restrictions, customs delays or other comparable events.

I-Feeder will use reasonable efforts to minimise the effect of such circumstances.

18. Intellectual Property

All I-Feeder product designs, drawings, software, calculations, documentation, manuals, photographs, trademarks and other intellectual property remain the property of I-Feeder or their respective rights holders.

Purchase of an I-Feeder product does not transfer ownership of I-Feeder intellectual property to the Customer.

19. Compliance and Intended Use

The Customer is responsible for ensuring that installation and use of the equipment complies with applicable local laws, regulations, environmental requirements and agricultural or chemical-use requirements at the place of installation.

I-Feeder equipment must not be used for an unlawful purpose.

20. Governing Law

Unless otherwise expressly agreed in writing, these Terms and any sale by I-Feeder are governed by the laws of the Republic of South Africa.

The parties submit to the jurisdiction of the competent courts of South Africa, subject to any mandatory consumer protection or jurisdictional rights that apply to the Customer.

21. Entire Agreement

The applicable quotation, order confirmation, these Terms of Sale and the I-Feeder Product Warranty together constitute the agreement relating to the sale.

Any variation must be agreed by I-Feeder in writing.
